Job Summary:

We are seeking experienced, mid-level associates to join our Mergers & Acquisitions team in the Boston office. The role involves supporting clients in the legal aspects of mergers and acquisitions transactions, including due diligence, drafting and negotiating agreements, and providing strategic legal advice. Associates will collaborate with cross-functional teams to ensure regulatory compliance and internal policy adherence.


Duties/Responsibilities:

  • Conduct due diligence on potential merger and acquisition targets, including reviewing financial statements, contracts, and other relevant documents.
  • Draft and negotiate transactional documents such as merger agreements, asset purchase agreements, and confidentiality agreements.
  • Manage the due diligence process for mergers and acquisitions transactions.
  • Conduct legal research and analysis on complex issues related to mergers and acquisitions.
  • Provide legal advice and guidance on various aspects of transactions.
  • Collaborate with internal and external stakeholders to ensure compliance with applicable laws, regulations, and industry best practices.
  • Assist in preparing and reviewing legal documents, including legal opinions, memoranda, and presentations.
  • Stay updated on relevant legal developments and industry trends to provide proactive and strategic legal advice.


Required Skills/Abilities:

  • 4 – 6 years of legal experience as an M&A associate at a large AmLaw 100 law firm.
  • Experience representing public and private companies in various transactions, including acquisitions, joint ventures, and corporate governance.
  • Strong understanding of industry and evolving market terms.
  • Superlative drafting experience and attention to detail.
  • Proven ability to work flexibly within teams and manage parts of transactions independently.
  • Strong academic record and a Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to and membership in good standing with the Massachusetts Bar.
