Salary: $260,000 - $390,000
A leading Am Law 200 firm's Asset Management Group within its Corporate Department seeks experienced Private Funds Associates with 3-6 years of legal experience. These attorneys advise clients on the formation, structuring, and operation of private investment funds.
Responsibilities:
- Advise clients on the formation and structuring of private investment funds.
- Draft and negotiate fund documents, including limited partnership agreements, subscription agreements, private placement memoranda, and side letters.
- Ensure compliance with securities laws and other regulatory requirements.
- Provide ongoing legal support to fund managers and investors.
- Conduct due diligence and review investment documents.
- Assist clients with fund marketing and investor relations.
- Advise on secondary transactions and fund restructurings.
- Stay current with changes in laws and regulations affecting private funds.
- Collaborate with other attorneys and professionals within the firm to provide comprehensive legal services.
Qualifications:
- 3-6 years of legal experience working on private investment fund matters, preferably at a national/global law firm.
- Strong knowledge of securities laws and regulations.
- Excellent drafting and negotiation skills related to private investment fund formation.
- Ability to self-manage multiple, time-sensitive projects and mentor junior associates.
- Strong analytical and problem-solving skills.
- Excellent communication and interpersonal skills.
- Ability to work independently and as part of a team.
- J.D. degree from an accredited law school.
- Admission to the bar in New York/Chicago/Boston/San Francisco
The anticipated salary range for this position is $260,000 - $390,000. This role is also eligible for a discretionary bonus.
