A prominent Am Law 200 firm's Employment team within its Employment, Executive Compensation & Benefits practice group seeks a lateral associate with 3-6 years of substantial experience in employment matters related to corporate transactions to join its New York, Boston or Chicago office.
Qualifications:
- 3 - 6 years of substantial experience working on the employment aspects of private equity or M&A transactions.
- Experience drafting and negotiating employment-related agreements (employment agreements/offer letters, restrictive covenant agreements, separation agreements).
- Experience handling employment dispute matters and/or employment investigations.
- Excellent attention to detail.
- Strong interpersonal and client management skills.
- Ability to manage priorities in a fast-paced, deadline-driven environment.
- Excellent academic credentials.
- Admission to the New York, Boston or Chicago bar.
Responsibilities:
- Work on the employment aspects of various transactions involving private equity clients and strategic investors.
- Draft and negotiate employment agreements, offer letters, separation agreements, and restrictive covenant agreements.
- Conduct legal research to ensure compliance with applicable state law.
- Advise clients, alongside senior attorneys, on strategic approaches to structuring transactions, market practices, and legal considerations related to wage and hour laws, discrimination, performance, discipline, leave of absence, and disability.
- Participate in due diligence calls with management.
- Negotiate principal and ancillary transaction documents, including purchase and sale agreements, disclosure schedules, employee leasing agreements, management restrictive covenant agreements, partnership agreements, limited liability company agreements, and employment agreements.
- Analyze the legal and factual background of pre-litigation disputes and litigation matters.
- Collaborate with senior attorneys to develop case strategy and prepare court and agency filings and responses.
