About the Corporate & Securities Practice

The firm’s Corporate & Securities group advises clients at all stages of the growth cycle — from emerging companies to established public corporations — on a wide range of matters. This includes strategic mergers and acquisitions, venture capital and private equity financings, general corporate governance, capital markets transactions, public company reporting, and compliance.


About the Role

The firm is seeking a mid-level associate with 4 to 6 years of experience to join its Corporate & Securities team in Portland. This role offers the opportunity to work closely with experienced partners and colleagues on sophisticated matters for clients in diverse industries, within a collegial and supportive team environment.


Key Responsibilities

  • Advise on mergers and acquisitions, strategic investments, and financing transactions
  • Represent emerging growth companies on corporate formation, governance, and operational matters
  • Counsel public companies on SEC reporting and compliance, capital markets activities, and corporate governance issues
  • Draft and negotiate complex transaction documents, coordinate due diligence, and support clients in achieving strategic business goals

Key Qualifications

  • 4–6 years of experience handling mergers & acquisitions, emerging company work, or general corporate representation within a respected law firm environment
  • Strong academic credentials and analytical skills
  • Ability to deliver practical, business-oriented legal advice to sophisticated clients
  • Excellent communication and drafting abilities

Compensation & Benefits

Base salary range is $310,000 to $390,000 annually, depending on experience and qualifications. Attorneys are also eligible for an annual discretionary bonus.
