Job Description:
Join a prestigious law firm as an Employee Benefits and Executive Compensation Attorney with 4-6 years of experience. In this role, you will be a key member of the legal team, providing comprehensive counsel on employee benefits and executive compensation matters, particularly within mergers, acquisitions, and divestitures. Your responsibilities will include advising on various aspects of benefits and compensation, conducting research on tax and ERISA issues, and assisting with corporate transactions.
Job Details:
- Provide counsel on employee benefits and executive compensation.
- Advise on benefits and compensation issues in mergers, acquisitions, and divestitures.
- Research tax and ERISA issues, reviewing statutory and regulatory changes.
- Assist with due diligence, purchase agreement review, and benefits integration.
- Draft employment agreements, incentive arrangements, and bonus agreements.
- Handle IRS and Department of Labor filings.
- Preferred experience with ESOPs, multiemployer plans, and IRS Section 409A compliance.
Requirements:
- Juris Doctor (J.D.) from an accredited law school.
- 4-6 years of experience in employee benefits and executive compensation.
- Bar admission in the relevant jurisdiction.
Preferred Skills:
- Experience with ESOPs.
- Knowledge of multiemployer plan withdrawal liability.
- Familiarity with IRS Section 409A compliance.
