Job Summary: The Vault Law 100 firm s seeking an experienced Registered Funds Associate with 3-6 years of legal experience.


Key Responsibilities:

  • Provide legal counsel and guidance on matters related to registered investment companies, including mutual funds, ETFs, listed closed-end funds, interval funds, tender offer funds, and business development companies.
  • Advise investment advisers on business and regulatory matters.
  • Assist with fund formation, registration, and ongoing compliance.
  • Offer advice on product development, including novel product designs.
  • Review and draft legal documents such as prospectuses, statements of additional information, and shareholder reports.
  • Conduct legal research and analysis on novel issues, including relevant laws, regulations, and industry trends.
  • Advise clients on compliance with securities laws, including the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, and the Securities Exchange Act of 1934.
  • Represent clients in interactions with regulatory authorities, such as the SEC and state securities regulators.
  • Collaborate with clients, including lawyers, portfolio managers, product development teams, and compliance officers, to ensure legal compliance and address legal issues.
  • Provide subject matter expertise in related practices, such as mergers and acquisitions in the financial services industry.
  • Mentor and guide junior attorneys and legal staff.

Required Skills and Abilities:

  • 3-6 years of legal experience as a Registered Funds Attorney.
  • Strong knowledge of securities laws and regulations, particularly those related to registered investment companies and registered investment advisers.
  • Proven ability to communicate complex legal concepts effectively to clients and internal stakeholders.
  • Excellent analytical, research, and problem-solving skills.
  • Ability to build and maintain relationships with clients and colleagues.
  • Flexibility to work independently and as part of a global team.
  • J.D. degree from an accredited law school.
  • Admission to the bar in the relevant jurisdiction.
