Salary: $250,000 - $345,000
A prominent Am Law 200 firm is seeking a mid-level Associate Attorney to join their Technology & Outsourcing Practice Group. This group focuses on business matters driven by technology, handling large-scale outsourcing arrangements, including business process outsourcing (BPO) and information technology outsourcing (ITO), as well as other licensing and technology procurements. They routinely assist clients throughout the project lifecycle, from RFPs to contract finalization and dispute resolution. The team is recognized in Chambers USA, Legal 500 US, and U.S. News - Best Lawyers for their exceptional work in technology law.
The Associate will work with leading clients in the technology, financial, telecommunications, and life sciences sectors, supporting a highly regarded team within the firm's corporate group.
Responsibilities:
- Structuring, drafting, and negotiating complex technology agreements, including intellectual property licensing, SaaS, hardware and maintenance agreements, distribution agreements, professional services agreements, and marketing agreements.
- Advising clients on licensing, distribution agreements, and issues related to AI, privacy, and information security.
- Collaborating with corporate and IP groups, providing expertise on the technology aspects of mergers and acquisitions.
- Providing strategic counsel on emerging trends and issues in various sectors, including tech, financial, telecommunications, healthcare, and life sciences.
- Conducting legal analysis and risk assessments.
- Contributing to the continuous improvement of standard agreements and playbooks.
Requirements:
- J.D. degree and admission to the New York Bar (other state bars may be considered depending on location).
- 3-5 years of experience in technology transactions, with a focus on intellectual property (IP) licensing.
- Experience handling business process outsourcing deals and negotiating complex agreements, including SaaS, global purchase, distribution, professional services, and marketing agreements.
- Experience with M&A and corporate transactions, particularly in the technology sector.
- Strong academic credentials.
- Excellent oral, written, and interpersonal communication skills.
- Ability to manage multiple complex legal matters and work effectively within a team.
- In-house or law firm experience with relevant expertise is welcome.
