Mid to Senior Level Associate - Executive Compensation & Benefits
Location: Boston/New York/Chicago
Salary: $260,000 - $420,000
A prominent Am Law 200 firm's Employment, Executive Compensation, and Benefits practice group seeks highly experienced lateral associates with 3-7 years of expertise in executive compensation and employee benefits matters to join their New York, Chicago, or Boston office.
Qualifications:
- J.D. degree from an accredited law school.
- Strong academic credentials.
- Admission to the relevant state bar (NY, IL, or MA) or eligibility for prompt admission.
- 3-7 years of continuous experience in executive compensation and employee benefits matters, preferably in a biglaw firm setting.
- Experience in M&A-related transactional benefits work, executive compensation, and traditional employee benefits (retirement, health, and welfare plans).
- Strong knowledge of relevant laws and regulations.
- Excellent attention to detail and sharp analytical skills.
- Ability to work independently and collaboratively in a team environment.
Responsibilities:
- Advise on the benefits and executive compensation aspects of corporate transactions, including mergers and acquisitions, IPOs, and asset sales.
- Counsel companies, investors, and executives on all aspects of executive compensation, benefits, and ERISA issues.
- Develop strategies, draft legal documents, and ensure compliance with applicable laws and regulations.
- Design, implement, and administer executive compensation plans and programs.
- Draft and review employment agreements and other compensation-related documents.
- Conduct legal research and analysis on relevant laws, regulations, and industry trends.
- Advise clients on compliance with federal and state laws, including ERISA, tax laws, and securities regulations.
- Negotiate and draft executive employment contracts and severance agreements.
- Collaborate with other practice groups (e.g., tax and corporate) to provide comprehensive client representation.
- Stay current on emerging legal developments and best practices in executive compensation and employee benefits.
