Job Summary

A leading global law firm is looking for a talented and motivated Private Equity Associate to join their San Francisco office. In this role, you'll provide essential legal counsel and support to clients involved in private equity transactions.


Role Overview

They are seeking a mid-level associate with 4–6 years of experience representing private equity sponsors in acquisitions, dispositions, and financings.


Key Responsibilities

  • Draft, review, and negotiate transactional documents, such as purchase agreements and financing documents
  • Conduct due diligence and research on investment opportunities
  • Advise clients on regulatory compliance related to private equity transactions
  • Assist in structuring and forming private equity funds
  • Provide guidance on transactions, corporate governance, and securities regulations
  • Collaborate with cross-functional teams to ensure smooth transaction execution
  • Independently lead various parts of transactions
  • Supervise and mentor junior team members
  • Stay informed on industry trends and legal developments in private equity law


Requirements

  • 4–6 years of legal experience in private equity transactions, preferably at a top law firm
  • Strong knowledge of corporate law and securities regulations
  • Excellent drafting, negotiation, and analytical skills
  • Ability to manage priorities in a fast-paced, deadline-driven environment
  • J.D. from an accredited law school
  • Admission to practice in California, in good standing


Compensation

The anticipated salary range for this position is $310,000 - $390,000, with eligibility for a discretionary bonus.
