About the Practice

The Technology Transactions group advises on cutting-edge licensing, IP, and commercial agreements in connection with M&A, financings, and product launches. The team works closely with the firm’s highly ranked Corporate practice and plays a crucial role in evaluating IP and contract risks for transactions involving some of the biggest names in tech and biotech.

What You’ll Do

As a Staff Attorney in this group, your primary responsibilities will include:

• Reviewing commercial and technology agreements in connection with M&A and financing deals
• Preparing disclosure schedules and summaries
• Organizing and tracking due diligence materials and requests
• Communicating findings to deal teams and maintaining document databases

Qualifications

• 2+ years of law firm experience in licensing, commercial contracts, or M&A diligence
• Admitted and in good standing in the relevant jurisdiction (CA or NY)
• Excellent written and verbal communication, attention to detail, and organizational skills
• Strong proficiency in tools such as Microsoft Office, SharePoint, and document management systems (e.g., iManage)
• Ability to work independently under tight deadlines

Compensation & Benefits

• Base salary range: $125,000 – $160,000
• Discretionary bonus eligibility based on performance
