Job Summary:

The firm is seeking an experienced Registered Funds Associate with 3-6 years of legal experience to join their Asset Management Group within the Corporate Department. This role involves providing legal counsel on matters related to registered investment companies and their advisers.


Duties and Responsibilities:

  • Provide legal advice on matters related to registered investment companies, including mutual funds, ETFs, closed-end funds, and business development companies.
  • Advise investment advisers on business and regulatory issues.
  • Assist with fund formation, registration, and compliance.
  • Provide guidance on product development, including novel fund designs.
  • Review and draft legal documents such as prospectuses, statements of additional information, and shareholder reports.
  • Conduct legal research on regulatory issues and industry trends.
  • Ensure compliance with securities laws, including the Investment Company Act of 1940 and the Investment Advisers Act of 1940.
  • Represent clients in dealings with regulatory authorities, including the SEC.
  • Collaborate with clients, internal teams, and regulatory bodies to address legal issues.
  • Offer expertise in related areas, such as mergers and acquisitions in the financial services sector.
  • Mentor and provide guidance to junior attorneys and legal staff.


Required Skills and Abilities:

  • 3-6 years of experience as a Registered Funds Attorney.
  • Strong knowledge of securities laws and regulations related to registered investment companies and advisers.
  • Excellent analytical, research, and problem-solving skills.
  • Ability to communicate complex legal concepts effectively to clients and stakeholders.
  • Proven ability to build and maintain client and colleague relationships.
  • Flexibility to work independently and as part of a global team.
  • J.D. degree from an accredited law school and admission to the bar in the relevant jurisdiction.
